
COACHING, CONSULTING, FACILITATION, AND TRAINING AGREEMENT
Effective Date: June 16, 2026
By purchasing, registering for, attending, participating in, or receiving services from Wave, you agree to the following terms and conditions.
Services
Wave provides leadership development, psychological health and safety consulting, coaching, facilitation, workshops, speaking engagements, training programs, organizational development services, assessments, and related educational services.
Services may be delivered virtually, in person, individually, or in group settings.
Educational Nature of Services
All services are educational, developmental, and consultative in nature.
Services are intended to support learning, awareness, leadership development, decision-making, and personal or professional growth.
Services are not psychotherapy, counselling, mental health treatment, psychiatric care, legal advice, medical advice, financial advice, or crisis intervention services.
Participation does not create a therapist-client, counsellor-client, physician-patient, lawyer-client, or other regulated professional relationship.
No Guarantee of Results
Clients understand that outcomes depend on numerous factors beyond the control of Wave.
While every effort is made to provide high-quality services, no guarantees, warranties, or promises are made regarding specific outcomes, business results, financial results, leadership outcomes, employee outcomes, organizational outcomes, or personal results.
Past results do not guarantee future results.
Client Responsibility
Clients remain solely responsible for:

Their decisions

Their actions
-
Their implementation efforts
-
Their business operations
-
Their employment decisions
-
Their personal wellbeing
-
Their legal compliance obligations
Clients acknowledge that they are responsible for evaluating and implementing any recommendations provided.
Psychological Health and Safety Services
Consulting, training, facilitation, and coaching related to psychological health and safety are intended to support awareness, leadership capability, workplace culture, and organizational development.
These services are not intended to diagnose, assess, or treat mental health conditions.
Organizations remain responsible for compliance with applicable laws, regulations, occupational health and safety requirements, employment obligations, and human rights obligations.
Confidentiality
Information shared by clients will be treated as confidential to the extent reasonably possible.
Confidentiality may be limited where disclosure is:

Required by law

Required by court order

Necessary to address a serious risk of harm

Necessary to protect legal rights

Authorized by the client
Group Programs
Participants agree to respect the confidentiality and privacy of fellow participants.
Because group programs involve multiple participants, confidentiality cannot be guaranteed.
Participants assume responsibility for the information they choose to share.
Recordings
Sessions, workshops, webinars, and training programs may be recorded for educational, operational, quality assurance, accessibility, or participant access purposes.
By participating, you consent to recording unless otherwise agreed in writing.
Participants may not record sessions without prior written permission.
Intellectual Property
All materials provided by Wave, including:

Workbooks
-
Handouts
-
Assessments
-
Frameworks
-
Models
-
Presentations
-
Videos
-
Course content
-
Written resources
remain the intellectual property of Wave.
Materials may not be copied, reproduced, distributed, sold, shared, published, modified, or used commercially without prior written permission.
Participants are granted a limited personal, non-transferable license to use materials for their own learning and internal organizational use unless otherwise agreed.
SOS Framework
The Sustainable Safety through Self, Others, and Systems (SOS) Framework, including associated concepts, models, language, tools, graphics, training materials, and intellectual property, remains the property of Wave.
No rights are granted beyond those expressly stated in writing.
Payment
Payment terms will be specified in proposals, invoices, registration pages, or service agreements.
Payment is due according to the terms provided.
Late payments may result in suspension or cancellation of services.
Refunds
Unless otherwise stated in writing:

Fees for completed services are non-refundable.

Missed appointments are non-refundable.

Digital products are non-refundable.

Program registrations may be subject to cancellation deadlines established at the time of registration.
Exceptions may be granted at the sole discretion of Wave.
Rescheduling and Cancellation
Clients are asked to provide at least 24 hours notice when rescheduling appointments.
Failure to provide required notice may result in forfeiture of the session.
Repeated cancellations may result in termination of services.
Participant Conduct
Participants agree to behave respectfully toward facilitators, staff, clients, and fellow participants.
Harassment, discrimination, threats, disruptive behaviour, or abusive conduct may result in immediate removal from programs without refund.
Technology and Virtual Services
Virtual services rely on technology outside our control.
Wave is not responsible for interruptions caused by internet failures, platform outages, equipment issues, software failures, or other technical difficulties.
Reasonable efforts will be made to reschedule affected sessions.
Limitation of Liability
To the fullest extent permitted by law, Wave, its owners, contractors, employees, facilitators, and representatives shall not be liable for:

Consequential damages

Lost profits

Lost revenue
-
Business interruption
-
Reputational harm
-
Emotional distress
-
Employment-related outcomes
-
Organizational outcomes
arising from participation in services.
Any liability shall be limited to the amount paid by the client for the services giving rise to the claim.
Indemnification
Clients agree to indemnify and hold harmless Wave from claims, losses, damages, liabilities, costs, and expenses arising from their actions, decisions, implementation efforts, or misuse of materials.
Force Majeure
Wave shall not be liable for delays, interruptions, or inability to perform services due to circumstances beyond reasonable control, including natural disasters, illness, government actions, labour disruptions, internet outages, emergencies, or other unforeseen events.
Termination
Either party may terminate services subject to any written agreements governing the engagement.
Wave reserves the right to terminate services where continued engagement is inappropriate, unsafe, unlawful, or inconsistent with professional boundaries.
Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Newfoundland and Labrador and the laws of Canada applicable therein.
Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Employee, Participant, and Workplace Disclosures
During coaching engagements, consulting projects, workshops, leadership programs, facilitation sessions, assessments, training events, or organizational development initiatives, participants may choose to share personal experiences, workplace concerns, observations, opinions, interpersonal conflicts, or information relating to their employment or organization.
Participation in these services does not create an individual coaching relationship, counselling relationship, therapeutic relationship, fiduciary relationship, employment relationship, investigative relationship, legal advisory relationship, human resources relationship, or advocacy relationship between Wave and any participant.
Wave acts solely as an independent coach, consultant, facilitator, educator, trainer, and advisor.
Unless expressly agreed in writing, Wave is not acting as:

A workplace investigator

A mediator
-
A therapist or counsellor
-
A human resources representative
-
Legal counsel
-
An employee advocate
-
A union representative
-
A regulatory authority
-
A decision-maker regarding workplace disputes or employment matters
Participants understand that information shared during programs, workshops, coaching engagements, facilitation sessions, or consulting activities may inform broader observations, recommendations, themes, trends, educational content, or organizational feedback. However, Wave does not guarantee that individual concerns, complaints, disclosures, allegations, grievances, or interpersonal conflicts will be investigated, resolved, escalated, reported, or acted upon unless otherwise required by law or specifically agreed upon in writing.

Where a participant discloses information indicating an immediate risk of serious harm to themselves or others, or where disclosure is otherwise required by law, Wave reserves the right to take reasonable steps consistent with legal, ethical, or safety obligations.
Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the subject matter addressed herein and supersedes prior discussions, understandings, or representations.
